Perseroan didirikan pada tanggal 14 April 1980 dengan nama PT Sumalindo Lestari Jaya. Sesuai Anggaran Dasar secara garis besar Perseroan berusaha di bidang kehutanan, perindustrian dan bidang pertambangan.

Berdasarkan keputusan RUPS-LB Perseroan tanggal 18 Desember 2012, Perseroan berganti nama menjadi PT SLJ Global Tbk dan telah mendapatkan pengesahan dari Menteri Hukum dan Hak Asasi Manusia Republik Indonesia sebagaimana tertuang dalam Surat Keputusan Nomor AHU-25591.AH.01.02.Tahun 2013 tertanggal 14 Mei 2013.

Sejak awal dibentuk, Perseroan mengkhususkan diri di bidang kehutanan dan industri perkayuan dengan mengelola 1 (satu) areal IUPHHK-HA (d/h: Hak Pengusahaan Hutan) seluas 132.000 Ha dan pabrik kayu lapis dengan kapasitas produksi 66.000 m3/tahun. Sejalan dengan berkembangnya usaha, melalui berbagai corporate action antara lain penggabungan usaha, akuisisi, penambahan investasi dan juga divestasi, saat ini Perseroan memiliki pabrik kayu lapis berkapasitas terpasang sebesar 190.000 m3/tahun dan pabrik MDF (Medium Density Fiberboard) berkapasitas terpasang 200.000 m3/tahun. Perseroan dan anak perusahaan saat ini mengelola 6 (enam) areal hutan alam seluas 840.500 Ha termasuk IUPHHK-HA atas nama PT Essam Timber yang masih menunggu perpanjangan izin dari Menteri Lingkungan Hidup dan Kehutanan. Selain itu unit usaha lain adalah pembangkit listrik (Power Plant), yang dikelola oleh anak perusahaan yakni PT Kalimantan Powerindo (PT.KP) berkapasitas total 22.5 MW.

Pada bulan Maret 1994 untuk pertama kalinya Perseroan melakukan Penawaran Umum sebanyak 25.000.000 saham biasa atas nama, kepada masyarakat dan mencatatkan seluruh saham yang telah dikeluarkan Perseroan di Bursa Efek Jakarta (s/i: PT Bursa Efek Indonesia).

Melalui beberapa kali Penawaran Umum Terbatas (Right Issue), penawaran waran serta konversi utang menjadi modal saham, jumlah saham yang telah dikeluarkan dari portepel Perseroan dan tercatat di PT Bursa Efek Indonesia (BEI) saat ini berjumlah 3.111.401.022 saham.

Pada tahun 2002 PT Astra International Tbk pada saat itu selaku pemegang saham mayoritas Perseroan (75%) menjual seluruh kepemilikan sahamnya kepada PT Sumber Graha Sejahtera (PT.SGS). PT.SGS adalah suatu Perseroan yang telah cukup lama berkecimpung di bidang industri perkayuan, dimana sebelum melepaskan seluruh kepemilikan sahamnya, tercatat memiliki 24.63% saham dari seluruh saham yang dikeluarkan dari portepel Perseroan.

Pada November 2016 Bapak Amir Sunarko selaku Presiden Direktur Perseroan melakukan transaksi pembelian seluruh saham yang dimiliki PT.SGS (24.63%) di Perseroan melalui mekanisme di pasar negosiasi Bursa Efek Indonesia.

 

The Company was established on April 14th, 1980 under the name of PT Sumalindo Lestari Jaya. In accordance with the Articles of Association, the Company is primarily engaged in forestry, industry and mining.

Based on the resolution of the Company’s Extraordinary General Meeting of Shareholders which was held on December 18th, 2012, the Company changed its name to PT SLJ Global Tbk. and has received the approval of the Minister of Justice and Human Rights of the Republic of Indonesia as stated in Decree of Minister No. AHU-25591.AH.01.02.Tahun 2013 dated on May 14th, 2013.

Since its inception, the Company specializes in forestry and timber industry by managing 1 (one) area of IUPHHKHA (d/h: Forest Concession) with area of 132.000 Ha and plywood factory with a production capacity of 66.000 m3/year. In line with business growth, through various corporate actions including business merger, acquisition, additional investment and divestment, currently the Company has an installed plywood plant with the capacity of of 190,000 m3/year and MDF (Medium Density Fiberboard) plant with the capacity of 200.000 m3/year. The Company and its subsidiaries currently manage 6 (six) natural forest areas covering an area of 840.500 Ha including IUPHHK-HA on behalf of PT Essam Timber which is still awaiting for the license extension from the Minister of Environment and Forestry. In addition, the other business unit is Power Plant, which is managed by its subsidiary, PT Kalimantan Powerindo (PT.KP) with a total capacity of 22.5 MW.

In March 1994 for the first time the Company conducted a Public Offering for 25.000.000 registered common shares, to the public and listed all shares issued by the Company on the Jakarta Stock Exchange (s/i: PT Bursa Efek Indonesia).

Through several Right Issues, offering of warrants and conversion of debt into share capital, the number of shares issued from the Company’s portfolio and listed on the Indonesia Stock Exchange (IDX) currently is amounting to 3.111.401.022 shares.

In 2002 PT Astra International Tbk at that time as the Company majority shareholder (75%) sold all of its shares to PT Sumber Graha Sejahtera (PT.SGS). PT.SGS is a Company which has been engaged in timber industry for a long time, which before releasing its entire share ownership, it was recorded to have 24.63% shares of all shares issued from the Company portfolio.

In November 2016 Mr. Amir Sunarko as the President Director of the Company made a purchase transaction of all shares owned by PT.SGS (24.63%) in the Company through a mechanism in the negotiation market of the Indonesia Stock Exchange.
